Shareholders' relations

Relationships between shareholders are the foundation of a company’s stable and long-term operation. At MJH, we support our clients in establishing transparent and secure rules for cooperation between shareholders and in resolving conflicts. Our aim is to protect our clients’ interests and ensure they can focus on developing their business without worrying about ambiguities or internal disputes.

Thanks to the experience we have gained in advising a wide range of companies – from family businesses and start-ups to complex corporate groups – we know that every ownership structure requires bespoke solutions. That is why our advice combines expertise in company law with a practical approach to management and business operations.

We support and represent our clients in the following areas:

  • shareholder agreements and investor agreements – we draft and negotiate documents governing the rights and obligations of shareholders, exit rules, non-competition clauses and dispute resolution mechanisms
  • corporate governance in multi-shareholder companies – we draw up decision-making procedures, control mechanisms and rules for representing the company
  • disputes between shareholders – we advise in conflict situations, represent clients in negotiations and court proceedings, and assist in securing claims
  • resolving and restructuring shareholder relationships – we provide support with share buy-outs, investor exits and changes to the ownership structure
  • protection of minority and majority shareholders – we develop solutions to safeguard the interests of both parties in order to minimise the risk of abuse

Our experience includes, amongst other things:

  • effectively negotiating and implementing shareholders’ agreements in companies across various sectors
  • representing shareholders in disputes concerning the right to information, dividends or the rules governing the disposal of shares
  • advising start-ups and founders on attracting investors and regulating mutual rights and obligations
  • resolving long-standing conflicts in family-owned companies in a way that enables business continuity
  • comprehensive support in buy-out processes and the introduction of strategic investors
